Please read these Terms and Conditions carefully before using UniSong Creator Studio's services. By engaging with us — whether as a brand or creator — you agree to be bound by the following terms.
1. Introduction
Welcome to UniSong Creator Studio ("UniSong," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website at unisongcreator.com — including the services we operate on its subdomains, such as private pages that deliver campaign materials or files to their intended recipients — and all related services, including but not limited to creator-brand matchmaking, campaign management, outreach facilitation, and payment processing (collectively, the "Services").
By accessing our website or engaging our Services — whether as a brand, agency, or content creator ("you" or "User") — you agree to be bound by these Terms. If you do not agree, please do not use our Services.
UniSong Creator Studio is operated by Amplify Technology Media Limited, a company incorporated in Hong Kong (Business Registration No. 81037349), operating globally. These Terms are an agreement between you and Amplify Technology Media Limited. Service delivery may involve our teams in Hong Kong, Shanghai, Los Angeles, Hangzhou, Sydney, and Ho Chi Minh City.
2. Definitions
- "Brand" refers to any company, agency, or individual that engages UniSong to connect with content creators for marketing campaigns.
- "Creator" refers to any social media content creator, influencer, or talent who registers with or is contacted by UniSong for potential brand collaborations.
- "Campaign" refers to any marketing engagement facilitated by UniSong — influencer marketing, commissioned content production, or managed-account (organic growth) work — including creator sourcing, outreach, content production, account operation, and performance tracking.
- "Content" refers to any photos, videos, text, graphics, or other materials produced by a Creator as part of a Campaign.
- "Platform" refers to supported third-party social media platforms named in the applicable Campaign scope, including TikTok, YouTube, and Instagram.
3. Services
UniSong provides creator-brand matchmaking and campaign management services. Our Services include, but are not limited to:
- Creator discovery, vetting, and recommendation based on audience demographics, engagement quality, and content niche.
- Outreach and negotiation with creators on behalf of brands, including rate negotiation and contract facilitation.
- End-to-end campaign management, from brief development through content review, approval, publication, and performance reporting.
- Commissioned content production through our Content Studio — UGC-style ads, AI-assisted video, and TVC-style deliverables produced to an agreed brief.
- Organic social growth services — planning and operating networks of owned accounts (account matrices) on the supported Platforms.
- Payment facilitation between brands and creators.
UniSong acts as an intermediary between brands and creators. We are not a party to the agreements between brands and creators unless explicitly stated in a separate written agreement.
As part of delivering a Campaign, we may make campaign materials — briefs, creative references, or files — available to their intended recipients through pages on subdomains of unisongcreator.com. Those materials are shared on behalf of the relevant brand: UniSong transmits them as an intermediary, the instructing brand remains responsible for their contents (see Section 5.6), and no rights in the materials are granted beyond the purposes of the relevant Campaign.
The Services depend on third-party Platforms (TikTok, YouTube, and Instagram). UniSong does not control Platform algorithms, policies, moderation, or availability, and is not responsible for Platform-side actions — including reach changes, content removal, or account restriction or suspension — that affect a Campaign. We will use reasonable efforts to mitigate and communicate such events when they occur.
3.1 Acceptable Use of Delivery Pages
The following rules apply to anyone who uploads, submits, or transmits files through the delivery pages we operate on subdomains of unisongcreator.com. You warrant that you own the material or hold the rights needed to share it, and that sharing it with its intended recipients violates no law and no third-party right — including intellectual-property, privacy, and confidentiality rights.
You must not use these pages to share:
- content that is unlawful in the place it is sent from or received;
- material that infringes intellectual-property, privacy, or publicity rights;
- malware or any other harmful code; or
- deceptive or fraudulent content, including phishing material.
You must not probe, overload, or attempt to circumvent the access controls of these pages. We may — but are not obliged to — scan transmitted files for malware, and we may refuse, remove, or disable any file, page, or link at our discretion, including on notice of a suspected violation. To report unlawful or infringing material reachable through one of our links, contact legal@unisongcreator.com.
By submitting a file, you grant UniSong a non-exclusive, worldwide, royalty-free license to host, copy, transmit, and technically process it solely to deliver it to its intended recipients and to operate and secure the service. You retain all other rights in your files.
3.2 Transmission, Not Storage
Our delivery pages are a transmission mechanism, not a storage, archival, or backup service. Files and pages may expire or be removed at any time, and we have no obligation to retain or return transmitted files — keep your own copies. Files are transmitted as provided by the sender: while we apply reasonable technical measures, we do not warrant that any transmitted file is free of viruses or defects, and recipients should apply their own safeguards before opening files.
4. Account Registration & Eligibility
To use certain features of our Services, you may be required to provide information including your name, email address, company name, and relevant social media profiles.
You must be at least 18 years of age to use our Services. By registering, you represent that you are of legal age and have the authority to bind the entity you represent (if applicable) to these Terms.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access.
5. For Brands
5.1 Campaign Briefs
Brands provide campaign briefs detailing objectives, target audience, budget, timeline, and content requirements. UniSong will source and recommend creators based on these specifications but does not guarantee specific results, engagement metrics, or sales outcomes.
5.2 Creator Selection
UniSong recommends creators based on available data and professional judgment. Final creator selection is subject to brand approval. UniSong does not guarantee the availability or acceptance of any specific creator.
5.3 Content Approval
Brands are entitled to review creator content before publication. Unless otherwise agreed in writing, one round of revisions is included per content deliverable. Additional revision rounds may incur extra fees.
5.4 Content Rights
Unless otherwise specified in a Campaign agreement, brands receive full usage rights to all Content produced during a Campaign. This includes the right to repurpose Content across paid advertisements, websites, social media channels, email marketing, and other marketing materials.
5.5 Payment Terms
Brands agree to pay all fees as outlined in the Campaign agreement. Payment is due within 14 days of invoice unless otherwise agreed. Late payments may incur a fee of 1.5% per month on the outstanding balance.
5.6 Brand Materials
You warrant that any materials you supply for a Campaign — logos, product imagery, footage, scripts, music, and product claims — are owned by you or properly licensed to you, and that our use of them as directed by you will not infringe third-party rights or breach applicable advertising law. You are responsible for the accuracy and substantiation of product claims you ask creators or our studio to communicate.
6. For Creators
6.1 No Exclusivity
Unless explicitly agreed in a separate written contract, creators are not bound by exclusivity. You are free to accept brand deals from other agencies, platforms, or directly from brands.
6.2 Content Standards
Creators agree to produce Content that meets the specifications outlined in the Campaign brief, complies with all applicable advertising disclosure laws and platform guidelines, and does not infringe on any third-party intellectual property rights.
6.3 Payment
Creators will be paid within 7–14 business days after Content is published and approved by the brand. Payments are made via bank transfer, PayPal, or Wise, as agreed. UniSong is not responsible for delays caused by incorrect payment information provided by the Creator.
6.4 Advertising Compliance
Creators are solely responsible for complying with all applicable advertising disclosure requirements in their jurisdiction. All sponsored Content must include appropriate disclosures (e.g., #ad, #sponsored).
6.5 Creator Data
UniSong collects and stores publicly available creator profile data (follower count, engagement metrics, content categories) for the purpose of creator-brand matching, on the lawful bases described in our Privacy Policy. Creators may object to this processing or request deletion of their profile data at any time — see the Privacy Policy for how.
6.6 Pricing Information
Where you provide collaboration rates through our pricing survey or similar forms, you confirm that the information is accurate to the best of your knowledge. Such rates are indicative and non-binding until confirmed in a separate written agreement for a specific Campaign. You may update or withdraw your submitted pricing at any time by contacting us.
7. Fees & Payment
UniSong's service fees are outlined in individual Campaign agreements or service contracts. Unless otherwise stated, all fees are quoted in USD.
UniSong reserves the right to adjust pricing with 30 days' written notice. Existing Campaign agreements will be honored at the originally agreed rate.
8. Intellectual Property
8.1 UniSong IP
All materials, branding, tools, databases, workflows, and proprietary methodologies used by UniSong remain the exclusive property of UniSong. Nothing in these Terms grants you any rights to our intellectual property.
8.2 Campaign Content
Ownership and usage rights for Campaign Content are governed by the specific Campaign agreement between the brand and creator, facilitated by UniSong. In the absence of a specific agreement, content rights default to the brand as outlined in Section 5.4.
8.3 Creator Portfolio
Creators retain the right to feature Campaign Content in their personal portfolios and social media profiles unless otherwise restricted in the Campaign agreement.
8.4 Studio Deliverables
For commissioned content-production engagements, ownership of the final deliverables transfers to the brand on receipt of full payment, with usage rights and any AI-assisted production disclosures as scoped in the engagement agreement. Unless otherwise agreed in writing, UniSong retains ownership of raw footage, working files, project templates, and production methods.
9. Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of engagement, including but not limited to campaign budgets, creator rates, brand strategies, and business plans.
Materials made available to you through privately shared links on our subdomains — including campaign briefs, rate information, creative materials, and files — are Confidential Information under this Section. Such links are intended for their recipients only and must not be forwarded, re-shared, or made public. We may restrict, disable, or expire any such page at any time without notice.
This obligation survives termination of these Terms for a period of two (2) years.
Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from a third party.
10. Limitation of Liability
To the maximum extent permitted by applicable law, UniSong shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services, including but not limited to loss of revenue, profits, data, or business opportunities.
To the maximum extent permitted by applicable law, UniSong's total liability under these Terms shall not exceed the total fees paid by you to UniSong in the twelve (12) months preceding the event giving rise to the claim.
Nothing in this Section excludes or limits liability for fraud or willful misconduct, gross negligence, death or personal injury, or any other liability that cannot be excluded or limited under applicable law.
Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law or other applicable law that cannot lawfully be excluded. Where UniSong is permitted to limit its liability for a failure to comply with such a guarantee, its liability is limited, at UniSong's option, to supplying the relevant services again or paying the cost of having them supplied again.
UniSong does not guarantee any specific campaign outcomes, engagement rates, sales figures, or return on investment. Creator performance metrics are estimates based on historical data and are not warranties.
11. Indemnification
You agree to indemnify, defend, and hold harmless UniSong and its officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of the Services, any Content you provide, or your violation of any applicable law or third-party rights.
12. Privacy & Data Protection
UniSong collects and processes personal data in accordance with our Privacy Policy, which describes the purposes and lawful bases for that processing.
We comply with applicable data protection laws, including the Hong Kong Personal Data (Privacy) Ordinance (Cap. 486), the EU and UK General Data Protection Regulation (GDPR) where applicable, the Australian Privacy Act 1988 (Cth) where applicable, applicable U.S. state privacy laws, and the Personal Information Protection Law of the People's Republic of China (PIPL) where applicable.
We do not sell personal data to third parties. Data collected is used for the purposes described in our Privacy Policy.
13. Termination
Either party may terminate these Terms at any time with 14 days' written notice. Upon termination, all outstanding invoices become immediately due.
UniSong reserves the right to suspend or terminate your access to the Services immediately if you breach these Terms, engage in fraudulent or illegal activity, or damage UniSong's reputation or relationships with creators/brands.
Termination does not affect any Campaign agreements already in progress. Ongoing Campaigns will be completed as agreed unless both parties consent to early termination.
13.1 Early-Termination Settlement & Refunds
If a Campaign ends early — by termination for convenience or by mutual agreement — fees for work already performed, deliverables already produced, and creator or third-party commitments that cannot reasonably be cancelled remain payable and are non-refundable. Any prepaid amounts beyond that settlement will be refunded within thirty (30) days of the effective termination date. Where UniSong terminates without cause and you are not in breach, unearned prepaid fees are refunded in full. Individual Campaign agreements may set different settlement terms, which prevail.
13.2 Force Majeure
Neither party is liable for delay or failure to perform (other than payment obligations already due) caused by events beyond its reasonable control — including natural disasters, war, epidemics, government action, internet or Platform outages, and labor disputes — provided the affected party notifies the other promptly and resumes performance as soon as reasonably possible. If a force-majeure event continues for more than sixty (60) days, either party may terminate the affected Campaign by written notice, with settlement under Section 13.1.
14. Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of laws principles.
Any dispute arising from these Terms shall first be addressed through good-faith negotiation between the parties for a period of 30 days. If the dispute is not resolved through negotiation, it shall be submitted to binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong, and proceedings shall be conducted in English or Chinese as agreed by the parties.
Nothing in this clause prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.
15. General Provisions
- Entire Agreement. These Terms, together with any Campaign agreements and our Privacy Policy, constitute the entire agreement between you and UniSong.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment. You may not assign your rights under these Terms without our written consent. UniSong may assign its rights at any time.
- Amendments. We reserve the right to update these Terms at any time. Material changes will be communicated via email or website notice at least 30 days in advance. Continued use of the Services after such notice constitutes acceptance.
